Terms of Service

These Terms of Service (“Terms”) constitute a binding agreement between you (“User,” “you”) and Rasyn Scientific Systems, Inc. (“Rasyn,” “we,” “us”) governing your access to and use of the rasyn.ai website, the Rasyn platform, our APIs, and all related services (collectively, the “Services”).

By creating an account or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

1. Who We Are

Rasyn provides a cloud-based analytical chemistry platform that uses machine-learning models and automated pipelines to process, analyze, and interpret instrument data for pharmaceutical and chemical R&D organizations.

2. Account Registration and Access

2.1 Eligibility

You must be at least 16 years old to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including any API keys. You must notify us immediately at security@rasyn.ai if you suspect unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your credentials.

2.3 Account Information

You agree to provide accurate, current, and complete information during registration and to keep it updated. We reserve the right to suspend accounts that contain materially inaccurate information.

3. Description of Services

The Services enable you to:

  • Upload and process chromatographic and spectroscopic instrument data in formats including mzML, CDF, JCAMP-DX, CSV, and others
  • Perform automated peak detection, baseline correction, and quality-control analysis using proprietary machine-learning models
  • Access AI-powered retrosynthetic route prediction through the Rasyn API
  • Manage datasets, samples, instrument methods, and analysis results with audit-trail support
  • Generate and export analytical reports and structured findings

4. Inputs, Outputs, and Your Data

4.1 Definitions

Inputs” means the instrument files, parameters, and queries you submit to the Services. “Outputs” means the results generated by the Services from your Inputs, including detected peaks, baselines, QC findings, chromatograms, and retrosynthetic routes. Together, Inputs and Outputs are referred to as “Your Data.”

4.2 Ownership

You retain all rights, title, and interest in Your Data. These Terms do not grant Rasyn any ownership rights in Your Data.

4.3 License to Rasyn

You grant Rasyn a limited, non-exclusive, royalty-free license to use, process, store, and transmit Your Data solely as necessary to provide the Services to you and to comply with applicable law. This license terminates when you delete Your Data or when your account is closed.

4.4 Model Training

We do not use Your Data to train, retrain, or improve our machine-learning models unless you provide separate, explicit, written consent through a research collaboration agreement. See Section 2 of our Privacy Policy for details on our scientific data practices.

4.5 Reliance on Outputs

By using the Services, you acknowledge that:

  1. Outputs are generated by automated systems including machine-learning models and may contain errors, omissions, or inaccuracies
  2. Outputs do not constitute professional analytical chemistry advice and should not be solely relied upon for regulatory submissions, clinical decisions, or manufacturing processes without independent verification
  3. You are responsible for evaluating the accuracy and appropriateness of Outputs for your specific use case
  4. Retrosynthetic route predictions are computational suggestions and must be validated experimentally before use in a laboratory setting

5. Acceptable Use

You agree to use the Services only for lawful purposes. You must not:

  • Violate any applicable law, regulation, or third-party rights
  • Upload content that infringes intellectual property rights
  • Transmit malicious code, viruses, or materials designed to disrupt the Services
  • Attempt to gain unauthorized access to other users’ accounts, data, or any system or network connected to the Services
  • Reverse-engineer, decompile, or disassemble any part of the Services or underlying models
  • Circumvent rate limits, authentication mechanisms, or security controls
  • Use the Services to develop a competing product or service
  • Use automated means (bots, scrapers) to access the Services except through our documented API
  • Misrepresent your identity or affiliation when creating an account

Violation of these terms may result in immediate suspension or termination of your account.

6. API Access and Rate Limits

Access to the Rasyn API is subject to rate limits, usage quotas, and the terms described in our API documentation. We reserve the right to modify rate limits and quotas at any time. If your usage significantly exceeds normal patterns or creates a security risk, we may throttle or temporarily suspend your API access with notice.

API keys are confidential credentials. You must not share API keys in public repositories, client-side code, or any other publicly accessible location. Compromised keys should be revoked immediately through your dashboard.

7. Fees and Payment

Certain features of the Services may require a paid subscription or incur usage-based fees. Pricing and payment terms will be presented to you before you incur any charges. All fees are non-refundable except as required by applicable law or as expressly stated at the time of purchase.

We reserve the right to change our pricing with 30 days advance notice. Continued use of paid features after a pricing change constitutes acceptance of the new pricing.

8. Intellectual Property

The Services — including source code, algorithms, machine-learning models, user interface, documentation, and all associated intellectual property — are and remain the exclusive property of Rasyn and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. No other rights are granted, whether by implication, estoppel, or otherwise.

“Rasyn,” the Rasyn logo, and related marks are trademarks of Rasyn Scientific Systems, Inc. You may not use our trademarks without prior written consent.

9. Third-Party Services

The Services may integrate with or contain links to third-party services (e.g., Google OAuth, AWS). We are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is governed by their respective terms.

10. Accuracy of Results and Regulatory Disclaimer

The Services use machine-learning models and automated algorithms to process analytical data. While we strive for high accuracy, the Services are intended for research use only. Specifically:

  • Results have not been validated under Good Laboratory Practice (GLP), Good Manufacturing Practice (GMP), or any equivalent regulatory framework
  • The Services are not a certified analytical instrument and should not be used as the sole basis for regulatory filings or quality release decisions
  • Peak detection, baseline correction, and retrosynthetic predictions are computational estimates and require independent review by a qualified scientist
  • Audit trail functionality is provided to support compliance workflows but does not, by itself, render the Services compliant with 21 CFR Part 11 or EU Annex 11

Users operating in regulated environments are responsible for conducting their own validation and qualification of the Services in accordance with their applicable quality management system.

11. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Rasyn does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Rasyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Services, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Rasyn has been advised of the possibility of such damages.

Rasyn’s total aggregate liability for all claims arising under or related to these Terms shall not exceed the greater of (a) the amounts you paid to Rasyn in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Rasyn and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Data.

14. Termination

Either party may terminate this agreement at any time. You may close your account through the Settings page or by emailing support@rasyn.ai. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we discontinue the Services.

Upon termination: (a) your right to use the Services ceases immediately; (b) we will delete Your Data in accordance with our Privacy Policy; and (c) provisions that by their nature should survive termination will survive, including Sections 4.2, 8, 10–13, and 15–17.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@rasyn.ai and attempt to resolve the dispute informally for at least 30 days.

15.2 Arbitration

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Wilmington, Delaware, and the arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis, not as a class, consolidated, or representative action. If this waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

17. General Provisions

17.1 Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes by updating the “Effective date” and, where appropriate, notifying you by email. Your continued use of the Services after the effective date of changes constitutes acceptance.

17.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rasyn with respect to the Services and supersede all prior agreements.

17.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.4 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.6 Force Majeure

Rasyn shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet disruptions, or third-party service outages.

17.7 Export Controls

You agree to comply with all applicable export and re-export control laws and regulations. You may not use the Services in any country subject to a U.S. Government embargo or in violation of any applicable sanctions.
